Legal Notice: The English version of this document governs in case of any conflict or inconsistency with any translated version.

These Terms of Use (“Terms”) govern your access to and use of the websites, platforms, applications, services, content, and products operated by Johnathan Oriental Corp. (“Johnathan Oriental,” “we,” “us,” or “our”), including but not limited to johnathanoriental.com and any affiliated services, portals, or applications (collectively, the “Services”).

By accessing or using any part of the Services, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility & Account Registration

To access certain features of the Services, you may be required to create an account.

You represent and warrant that (a) you are at least the age of majority in your jurisdiction; and (b) all information you provide is accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether authorized or not.

We reserve the right to suspend or terminate accounts at our sole discretion, with or without notice, including in cases of suspected misuse, violation of these Terms, or legal or security concerns.

2. AI Services & Output Disclaimer

Certain AI-powered features are additionally governed by our AI Supplemental Terms & AI Data Notice, which form part of these Terms.

Certain Services include artificial intelligence–powered features (“AI Services”).

You acknowledge and agree that AI-generated outputs are provided for informational and general-purpose use only; may be inaccurate, incomplete, outdated, or misleading; and do not constitute professional, legal, financial, investment, medical, or other regulated advice.

You agree not to rely exclusively on AI outputs for decision-making that may result in financial loss, legal exposure, personal harm, or regulatory consequences.

To the maximum extent permitted by law, Johnathan Oriental disclaims all liability arising from your use of or reliance on AI-generated content.

3. User Content & Prompts

You may submit text, data, prompts, files, or other materials (“User Content”) in connection with the Services.

You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not infringe any third-party rights or violate applicable laws.

You retain ownership of your User Content. However, you grant Johnathan Oriental a limited, non-exclusive, royalty-free license to process, store, and use such User Content solely for the purpose of providing and improving the Services, including generating AI outputs.

We do not claim ownership over your prompts or original content.

4. Payments, Subscriptions & Refunds

Certain Services require payment, including subscriptions, digital products, or memberships.

By making a purchase, you agree that prices, billing cycles, and applicable taxes will be disclosed at checkout; subscriptions may automatically renew unless cancelled before the renewal date; and you are responsible for managing your subscription and cancellation settings.

All payments are final unless otherwise expressly stated. Refunds, if offered, are granted at our sole discretion and subject to any applicable refund policy displayed at the time of purchase.

Failure to complete payment may result in suspension or termination of access to paid Services.

5. Intellectual Property

All content, software, designs, trademarks, logos, and materials provided through the Services are owned by or licensed to Johnathan Oriental and are protected by intellectual property laws.

You may not copy, modify, distribute, reverse engineer, or exploit any part of the Services without our prior written consent.

6. Prohibited Conduct

You agree not to use the Services for unlawful, fraudulent, or abusive purposes; interfere with or disrupt system security or performance; attempt to access restricted areas without authorization; or use AI Services in violation of applicable laws or third-party rights.

7. Service Availability & Modifications

The Services may change over time. We do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, for operational, legal, or business reasons.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Johnathan Oriental Corp. shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to your use of the Services.

Our total liability shall not exceed the amount paid by you to us, if any, in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Johnathan Oriental Corp. and its affiliates from any claims, losses, liabilities, damages, or expenses arising from your use of the Services; your User Content; or your violation of these Terms or applicable laws.

11. Termination

We may terminate or restrict your access to the Services at any time, with or without cause. Upon termination, all licenses granted to you under these Terms will immediately cease.

12. Governing Law & Arbitration

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, except where prohibited by law.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
