These Terms of Use (“Terms”) govern access to and use of websites, applications, digital services, memberships, programs, events, content, technology and other services made available by Johnathan Oriental Corp. (“JOC”, “we”, “us” or “our”) where these Terms are posted or incorporated by reference (collectively, the “Services”).
Please read these Terms carefully. By accessing or using the Services, creating an account, purchasing or subscribing to a Service, or otherwise agreeing to these Terms, you agree to be bound by them.
If applicable law gives you rights that cannot lawfully be waived, excluded or limited by contract, those rights remain unaffected by these Terms.
1. About JOC
JOC provides a private decision ecosystem through intelligence, perspective, technology, access, coordination and related capabilities.
The JOC ecosystem includes services and initiatives such as JOC Capitalᴬⁱ, CoKA Ai, Ai Finance Forum, QIJUK Lab, AURA and STRATEGIC CONTINUITY CIRCLE™ (SCCP), together with related digital and physical experiences that JOC may make available from time to time.
Different Services may have different purposes, eligibility requirements, access levels, functionality and additional terms.
2. Important Financial and Professional Services Notice
JOC does not operate an investment platform and does not provide brokerage, securities trading, custody or public asset-management services.
Unless expressly provided under a separate written engagement by an appropriately qualified provider, the Services do not constitute legal, investment, financial, tax, accounting, medical, immigration or other regulated professional advice.
Information, analysis, perspectives, introductions, technology, access and other capabilities made available through the Services are not, by themselves, a recommendation, solicitation or guarantee of any particular transaction, strategy, professional engagement or outcome.
JOC may facilitate access, introductions or coordination involving independent professionals or service providers. Such facilitation does not by itself make JOC the provider of those independent professional services or create a professional-client, fiduciary, agency, partnership or similar relationship between you and JOC.
You remain responsible for deciding whether independent professional advice is appropriate for your circumstances.
3. Eligibility
General JOC accounts and Services are intended for persons who are at least 18 years old.
A particular Service may expressly provide different eligibility requirements under separate terms and appropriate safeguards.
By creating an account or entering into a paid agreement with JOC, you represent that you have the legal capacity to do so.
If you use a Service on behalf of a company, organization or other entity, you represent that you have authority to bind that entity to the applicable terms.
4. Additional and Service-Specific Terms
Some Services may be governed by additional terms, notices, program rules, order terms or agreements (“Additional Terms”).
The Privacy Policy governs JOC's handling of personal information. The AI Supplemental Terms & AI Data Notice applies to JOC Services that provide artificial-intelligence functionality. The Cookie Policy describes JOC's use of cookies and similar technologies.
If Additional Terms expressly conflict with these Terms in relation to the specific subject matter of the Additional Terms, the Additional Terms govern that subject matter.
For AI-specific matters, the AI Supplemental Terms & AI Data Notice governs to the extent of an AI-specific inconsistency.
Nothing in this section limits rights that cannot lawfully be waived or restricted.
5. Accounts and Account Security
Certain Services require an account, invitation, registration, membership or other authorization.
You agree to provide information that is reasonably accurate and current when required for the relevant Service and to take reasonable steps to protect your credentials and authentication methods.
You may not knowingly allow another person to use credentials that are personal to you where the Service does not permit credential sharing.
Please notify JOC promptly if you reasonably believe that your account or credentials have been compromised.
You are responsible for activity that you authorize through your account. Nothing in these Terms makes you automatically responsible for unauthorized activity resulting from circumstances for which applicable law does not permit JOC to transfer responsibility to you.
JOC may require additional authentication, restrict access, suspend credentials or take other reasonable protective measures where JOC believes this is necessary to protect an account, the Services, JOC, other users or third parties.
6. Access, Invitations and Membership
Some JOC Services are private, invitation-based, capacity-limited, membership-based or otherwise subject to eligibility or access criteria.
An application, invitation request, priority-list position, membership inquiry or prior participation does not guarantee admission, renewal, continued availability or access to any particular Service, person, event, opportunity or capability.
Subject to applicable law and any binding agreement with you, JOC may establish or modify reasonable eligibility, capacity, access and participation criteria for its Services.
Higher levels of access or capability do not transfer decision-making authority from you to JOC.
7. CoKA Ai and Other AI-Enabled Services
CoKA Ai and other AI-enabled Services are designed to support inquiry, analysis, causal reasoning, exploration and human judgment.
Artificial-intelligence systems are probabilistic. Outputs may be incomplete, inaccurate, outdated, non-unique or unsuitable for a particular purpose.
You should independently evaluate information where accuracy, safety, legal rights, financial consequences, health, professional obligations or other significant interests are involved.
You should not rely on an AI Output as the sole basis for a high-impact decision where independent professional review, verification or human judgment would reasonably be appropriate.
Access to more capable AI functionality does not give an AI system independent authority over your decisions, property, accounts or relationships.
Additional rules governing AI Inputs, Outputs, Private User Content, AI data processing, connected sources and agent actions are set out in the AI Supplemental Terms & AI Data Notice.
8. Production and Research Services
JOC may identify certain technology as a Production service and other technology as a Research Preview, experimental, beta, evaluation or similar service.
A Research Preview is not a Production service merely because it is accessible to users.
Research or experimental Services may change more frequently, contain incomplete or experimental functionality, have different availability or performance characteristics, and be modified, suspended or withdrawn as JOC evaluates them.
Designation as Production does not mean that a Service will be error-free, uninterrupted or suitable for every purpose.
9. Ai Finance Forum
Ai Finance Forum provides curated opportunities for conversation, perspective and human connection.
Participation does not constitute endorsement by JOC of every statement, participant, organization, investment, service or opportunity discussed in connection with a Forum.
Views expressed by participants or guests are their own unless JOC expressly states otherwise.
Participation in a Forum does not create an advisory, fiduciary, agency, professional-client or investment-management relationship with JOC.
10. QIJUK Lab
QIJUK Lab may research, develop, evaluate or present technologies, materials, concepts, prototypes and related capabilities.
Research, prototype or experimental materials may not have the characteristics, availability, certification or suitability of a finished commercial product.
Any specifications, warranties, safety information or contractual commitments applicable to a commercial product will be those expressly provided with that product or transaction.
11. AURA
AURA may provide design, aesthetic, cultural, experiential or human-centred expressions within the JOC ecosystem.
Descriptions, images, renderings, concepts or presentations may be illustrative. Where JOC offers a specific product or paid service, the applicable product description, order information and Additional Terms govern that transaction.
12. STRATEGIC CONTINUITY CIRCLE™ (SCCP)
STRATEGIC CONTINUITY CIRCLE™ (SCCP) supports preparedness, optionality, continuity, access and coordination.
SCCP does not guarantee safety, investment performance, residency or immigration outcomes, regulatory approval, access to any particular professional or opportunity, or uninterrupted availability of any resource or service.
SCCP participation does not transfer a participant's decision-making authority to JOC.
Where independent professionals or service providers become involved, their services may require separate evaluation, engagement and terms directly with the relevant provider.
13. ACCESS, HALO and Other Access Experiences
JOC may provide different access experiences, pathways, interfaces or communities for different audiences or purposes.
Access classification does not, by itself, create a regulated professional relationship, fiduciary relationship or entitlement to a particular service or outcome.
14. User Content
“User Content” means content that you submit, upload, transmit, provide or make available through a Service, including text, prompts, instructions, documents, files, images, feedback and other materials.
You retain any ownership rights that you have in your User Content.
You grant JOC a limited, non-exclusive, worldwide licence to host, reproduce, transmit, display, process and otherwise use User Content only to the extent reasonably necessary to provide, operate, secure and support the Services; comply with law; enforce applicable terms; and exercise other rights or purposes expressly described in the applicable terms or notices.
This licence does not, by itself, constitute consent for JOC to use Private User Content to train general-purpose AI models.
JOC's handling of personal information contained in User Content is governed by the Privacy Policy and, where applicable, the AI Supplemental Terms & AI Data Notice.
You represent that you have the rights and authority reasonably necessary to provide User Content to JOC and to authorize the processing required for your use of the Service.
15. Private User Content
“Private User Content” means non-public content that a user submits to, uploads to, provides through, or authorizes JOC to access through a Service, including private prompts, conversations, instructions, documents, files, images and other non-public materials.
Private User Content does not include information that the user has intentionally made public through the relevant Service, or information that JOC lawfully obtains independently from another source without relying on the user's private submission.
JOC does not use Private User Content to train general-purpose AI models.
Additional information concerning processing of Private User Content by AI-enabled Services is provided in the AI Supplemental Terms & AI Data Notice and Privacy Policy.
16. Feedback
If you voluntarily provide ideas, suggestions or general feedback about the Services, JOC may use that feedback to evaluate or improve its products and services without an obligation to compensate you, provided that JOC's use remains subject to applicable privacy law and any confidentiality obligation expressly agreed by JOC.
Do not submit confidential information as general product feedback unless the relevant channel is expressly intended for confidential communications.
17. Acceptable Use
You may not use the Services to violate applicable law or another person's rights; engage in fraud, deception, impersonation or materially misleading activity; gain unauthorized access to accounts, systems, networks, data or Services; circumvent reasonable security or usage restrictions; introduce malware; misuse another person's confidential, proprietary or personal information; materially disrupt the Services; unlawfully reverse engineer protected components; or create material security, legal or abuse risk.
JOC may investigate suspected misuse and take reasonable measures to protect the Services and affected parties.
18. AI and Automated Actions
Permission for an AI-enabled Service to access information does not automatically include permission to modify, disclose, transmit or delete that information.
Permission to prepare or recommend an action does not automatically include permission to execute that action.
Authorization for one action does not create continuing authority for materially different actions unless the relevant Service clearly provides for that scope and you have agreed to it.
Where a Service is capable of taking an external or materially consequential action, JOC may require permissions, confirmation, authentication or other authorization appropriate to the action.
19. Third-Party Services and Independent Professionals
The Services may interact with, link to, incorporate or facilitate access to third-party websites, platforms, infrastructure, technology, products, professionals or other service providers.
Unless JOC expressly states otherwise, third parties operate independently and may have their own terms, privacy practices, fees, professional obligations and contractual relationships.
JOC is not responsible for a third party merely because JOC provides a link, integration, introduction or coordination function.
Nothing in this section excludes responsibility that JOC cannot lawfully exclude.
20. Purchases, Fees and Subscriptions
Some Services may require payment.
Before completing a purchase or subscription, JOC will provide the material transaction information required for the applicable Service, which may include price, billing frequency, taxes, renewal terms and material cancellation conditions.
You agree to pay charges that you knowingly authorize in accordance with the information presented at the time of purchase.
Where a subscription automatically renews, applicable renewal and cancellation information will be disclosed as required by law.
Refunds, cancellations and credits are governed by the terms disclosed for the relevant transaction and applicable law.
No statement in these Terms that a payment is non-refundable overrides a refund, cancellation, reversal or other right that applicable law does not permit you to waive.
Payment processing may be provided by specialized third-party payment providers. JOC does not intentionally store complete payment-card numbers or card verification codes where payment processing can reasonably be performed by such a provider.
21. Intellectual Property
The Services and their software, technology, interfaces, designs, branding, text, graphics, audiovisual material, databases, methods and other content provided by JOC are owned by or licensed to JOC and are protected by applicable intellectual-property laws.
Except as expressly permitted by JOC or applicable law, you may not reproduce, distribute, sell, license, publicly display, commercially exploit or create derivative works from protected JOC materials.
These Terms do not transfer ownership of JOC intellectual property to you.
22. AI Outputs and Intellectual Property
Subject to applicable law and third-party rights, JOC does not claim ownership of an AI Output solely because it was generated for you through an AI Service.
AI Outputs may not be unique, and other users may receive identical or similar content.
JOC does not represent that every AI Output is eligible for copyright, patent, trademark or other intellectual-property protection, or that an Output cannot resemble third-party material.
You are responsible for evaluating whether your intended use of an Output requires additional rights, permissions, review or verification.
23. Privacy
JOC's handling of personal information is described in the Privacy Policy.
Use of the Services does not, by itself, constitute consent to unrelated secondary uses of personal information where separate consent is required by applicable law.
AI-specific data practices are further described in the AI Supplemental Terms & AI Data Notice. Cookies and similar technologies are addressed in the Cookie Policy.
24. Service Changes and Availability
JOC may develop, modify, add, remove or discontinue features or Services as its technology, business, security requirements or legal obligations evolve.
Where a change materially affects a paid commitment already made to you, JOC will address that change in accordance with the applicable agreement and law.
JOC does not guarantee that every Service, feature, integration, event, professional relationship or access opportunity will remain continuously available.
25. Suspension and Restriction
JOC may restrict or suspend access where reasonably necessary to protect security or integrity; respond to suspected fraud, misuse or unauthorized access; comply with law; protect JOC, users or third parties from material harm; address a material or repeated violation; or manage withdrawal or discontinuation of a Service.
Where reasonably practicable and appropriate, JOC may provide notice or an opportunity to address a remediable issue. JOC may act without prior notice where immediate action is reasonably necessary for security, legal compliance, fraud prevention or protection from material harm.
26. Termination
You may stop using a Service at any time, subject to applicable subscription, cancellation or contractual obligations.
JOC may terminate access where permitted by applicable law and the applicable agreement, including for material breach, misuse, security risk, non-payment, legal requirements or discontinuation of the relevant Service.
Termination does not eliminate rights or obligations that by their nature should survive termination.
27. Information and Decision Responsibility
JOC may provide information, analysis, perspectives, tools or access intended to help users understand circumstances and evaluate choices.
Such capability does not eliminate uncertainty or transfer responsibility for a user's decisions to JOC.
You remain responsible for considering your objectives, circumstances, independent information and appropriate professional advice before taking materially consequential action.
28. Disclaimers
Nothing in these Terms excludes any warranty, condition, right or remedy that applicable law does not permit JOC to exclude.
Subject to the preceding sentence and to the maximum extent permitted by applicable law, the Services are provided on an “as available” basis. JOC does not warrant that every Service will be uninterrupted, error-free, completely secure, or suitable for every user's particular purpose.
JOC does not guarantee the accuracy, completeness or continuing availability of third-party information, AI Outputs, external services, independent professional services, opportunities or outcomes.
No representation concerning future events, access, capability or outcomes constitutes a guarantee unless JOC expressly provides that guarantee in a binding written agreement.
29. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Subject to the preceding sentence and to the maximum extent permitted by applicable law, JOC will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenues, business opportunities or data, arising out of or relating to the Services or these Terms, where such damages may lawfully be excluded.
To the maximum extent permitted by applicable law, JOC's aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts actually paid by you to JOC for the Service giving rise to the claim during the twelve months immediately preceding the event giving rise to the claim; and (b) CAD $100.
The exclusions and limitations in this section apply only to the extent permitted by applicable law and do not limit statutory consumer rights or other rights or remedies that cannot lawfully be waived, excluded or limited.
30. Indemnity for Business and Organizational Use
If you use the Services on behalf of a business, organization or other legal entity, that entity agrees, to the extent permitted by applicable law, to indemnify and hold harmless JOC and its directors, officers, employees and agents from third-party claims, liabilities, damages and reasonable costs arising from the entity's material breach of these Terms, unlawful use of the Services, User Content provided in violation of another person's rights, or unauthorized or unlawful use of a third party's data, systems or intellectual property.
This section does not require indemnification for liability caused by JOC to the extent such liability cannot lawfully be shifted to another party.
This business indemnity does not apply to an individual acting solely as a consumer except to the extent separately agreed and permitted by applicable law.
31. Governing Law
Subject to any mandatory law that applies to you, these Terms and disputes arising out of or relating to them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
Nothing in this section deprives a consumer or other person of protections that applicable law does not permit the parties to exclude by agreement.
32. Dispute Resolution
Before commencing formal proceedings, you and JOC are encouraged, where appropriate, to attempt in good faith to resolve a dispute through direct communication.
A notice concerning a contractual dispute may be sent to info@johnathanoriental.com.
Unless mandatory law provides otherwise, proceedings arising out of or relating to these Terms may be brought before the courts of Ontario, Canada.
Nothing in these Terms requires a consumer to waive a right to commence or participate in a court or class proceeding where applicable law does not permit that right to be waived.
After a dispute has arisen, the parties may mutually agree to mediation, arbitration or another lawful dispute-resolution procedure. No such procedure is mandatory merely because these Terms apply.
33. Changes to These Terms
JOC may update these Terms to reflect changes in the Services, technology, law, security requirements or business practices.
Where a change is material, JOC will provide notice or obtain agreement in the manner required by applicable law and appropriate to the affected Service.
Continued use after an update constitutes acceptance only to the extent that such acceptance is valid under applicable law and the circumstances of the relevant Service.
34. Electronic Communications
Where permitted by law, notices and communications relating to the Services may be provided electronically. Where applicable law requires information to be provided in a particular form or in a form that can be retained, JOC will provide it accordingly.
35. Severability
If a provision of these Terms is found unenforceable, invalid or unlawful, that provision will be interpreted or limited to the minimum extent necessary where permitted by law, and the remaining provisions will continue in effect.
36. No Waiver
JOC's failure to enforce a provision of these Terms on one occasion does not waive its right to enforce that provision or another provision later.
37. Assignment
You may not transfer contractual rights or obligations relating to a personal account without JOC's consent where the nature of the Service reasonably requires the account to remain personal.
JOC may assign or transfer its rights and obligations in connection with a bona fide corporate reorganization, financing, merger, acquisition, sale of business or assets, or similar transaction, subject to applicable law and continuing obligations concerning personal information.
38. Entire Agreement and Order of Terms
These Terms, together with applicable Additional Terms, form the agreement between you and JOC concerning the relevant Services, except where you and JOC have entered into a separate written agreement that expressly governs the same subject matter.
The Privacy Policy governs JOC's handling of personal information and is not interpreted to reduce rights provided by applicable privacy law.
The AI Supplemental Terms & AI Data Notice governs AI-specific matters to the extent of an AI-specific inconsistency.
Service-specific Additional Terms govern the specific Service matter they expressly address.
39. Language
The English version of these Terms is the authoritative version unless applicable law, an applicable agreement or a Service-specific notice expressly provides otherwise.
Translations may be provided for convenience and accessibility. Nothing in this section limits language rights or disclosure requirements that cannot lawfully be waived.
